Terms of Service

1. Introduction

Welcome to VeriDeal ("we," "us," or "our"). These Terms of Service ("Terms") govern your use of our website, mobile applications, and services (collectively, the "Platform"). By accessing or using our Platform, you agree to be bound by these Terms and our Privacy Policy.

2. Services Provided

VeriDeal provides an online platform that facilitates peer-to-peer transactions for goods and services. Our services include, but are not limited to:

  • A marketplace for users to list and discover items and services.
  • A secure escrow service to hold funds during a transaction.
  • A dispute resolution system to mediate disagreements.
  • AI-powered tools to assist with listings, agreements, and document analysis.
  • A property management and transaction facilitation service.

3. User Accounts and Registration

To access most features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your password and for all activities that occur under your account. VeriDeal offers both individual and company accounts. Certain features may require identity verification, including facial verification and phone OTP, to enhance security.

4. The VeriDeal Escrow and Transaction Process

Our transaction process is designed to protect both Buyer and Seller. When a Buyer and Seller agree to a transaction, the following steps apply:

  1. Payment into Escrow: The Buyer must first deposit the full agreed-upon funds into the VeriDeal escrow account.
  2. Seller Notification: Upon successful payment, the Seller receives a notification to proceed with the order.
  3. Pre-Shipment Video Verification: Before shipping, the Seller is required to record and upload a detailed video of the item to the order page. This video must clearly show the item's condition, features, and packaging. This serves as critical evidence to protect both parties.
  4. Shipment: The Seller must ship the item using one of VeriDeal's designated courier partners and update the order page with the valid tracking number.
  5. Inspection Period: The Buyer has a 3-day inspection period, starting from the time of delivery as confirmed by the courier's tracking information, to inspect the item and either approve it or raise a dispute.
  6. Confirmation and Payout: The Buyer can approve the item at any time within the 3-day inspection period. Upon approval, VeriDeal will release the funds to the Seller, minus our commission.
  7. Automatic Release: If the inspection period expires and the Buyer has taken no action (neither approved nor disputed), the funds will be automatically released to the Seller.

5. Listings and User Conduct

You are solely responsible for the content you post on the Platform. You agree not to list any items or services that are illegal, fraudulent, or violate our content policies. We utilize AI-powered moderation tools to flag and review potentially inappropriate content, but we do not guarantee the accuracy or safety of any listing. You agree to transact in good faith and communicate respectfully with other users.

6. Payments, Fees, and Limits

All payments are processed through our third-party payment processors (e.g., Yoco). By making or receiving payments on the Platform, you agree to be bound by the terms and conditions of these processors. For every successful transaction, VeriDeal deducts a 5% service fee (commission) from the total transaction amount before releasing the funds to the seller. This fee is essential for maintaining the platform, provide customer support, and ensure the security of the escrow service.

To prevent abuse and comply with financial regulations, all transactions on the platform are subject to minimum and maximum limits. These limits vary based on your user account type (Standard, Pro, Gold) and the transaction currency. For example, in South Africa (ZAR), the minimum transaction is R500, with maximums ranging from R25,000 for Standard users to R1,000,000 for Gold users. In Nigeria (NGN), the minimum is NGN 50,000, with maximums from NGN 5,000,000 (Standard) to NGN 200,000,000 (Gold). You are responsible for being aware of your current limits, which are displayed when initiating a transaction. We reserve the right to modify these limits at any time.

7. Dispute Resolution

If a Buyer believes the item received does not match the description or the Seller\'s video evidence, they may raise a dispute within the 3-day inspection period. Both parties agree to cooperate with the VeriDeal dispute resolution process. The Seller\'s pre-shipment video will be a key piece of evidence in the investigation. Our system may use AI to assist in the initial analysis of a dispute. The final decision made by our human arbitrators is binding.

8. Property Services

Our property management services are subject to the same escrow and dispute resolution principles. Users are responsible for complying with all local laws and regulations regarding real estate transactions. Our AI legal verification tool for property provides a preliminary analysis and is not a substitute for professional legal advice.

9. Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. VERIDEAL IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE PLATFORM OR FROM ANY TRANSACTION MADE THROUGH IT. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR YOUR USE OF THE PLATFORM WILL NOT EXCEED THE TOTAL COMMISSION WE RECEIVED FROM YOUR DISPUTED TRANSACTION.

10. Termination

We may terminate or suspend your account at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

11. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which our company is registered, without regard to its conflict of law provisions.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any significant changes. Your continued use of the Platform after such changes constitutes your acceptance of the new Terms.
